MakeRoomHere Terms and Conditions

1. About MakeRoomHere
MakeRoomHere is an AI-powered chat service for websites, operated by FOP PASTUKHOVA KSENIA OLEKSANDRIVNA, registered in Ukraine.
These Terms and Conditions govern your access to and use of the MakeRoomHere website, dashboard, chat widgets, and related services.
By registering for or using MakeRoomHere, you agree to these Terms and Conditions.
2. Eligibility and Accounts
MakeRoomHere is available to businesses and individual website owners internationally, subject to applicable laws, sanctions, and service-provider restrictions.
You must be at least 18 years old and legally capable of entering into a binding agreement.
You must provide accurate registration information, protect your account credentials, and notify us if you suspect unauthorized access to your account.
You are responsible for activity conducted through your account, except where applicable law provides otherwise.
3. Description of the Service
MakeRoomHere enables website owners to create knowledge bases from supported website content and documents, configure AI-powered chat widgets, and provide automated answers to questions from website visitors.
The service uses artificial intelligence and external technology providers. Generated answers may be inaccurate, incomplete, or unsuitable for a particular purpose.
You are responsible for reviewing the suitability of the service for your website and should not rely on AI-generated responses without appropriate verification when the consequences of an error could be significant.
4. Free Trial
Eligible users may start a seven-day free trial without providing payment information.
The Trial includes 100 cumulative chat questions, 50 active or pending knowledge-base sources, and 2.5 million embedded tokens processed during the trial.
The Trial expires after seven days, and its usage allowances do not automatically reset.
The automatic Trial is available once per eligible account or identity. Trial restarts are available only at MakeRoomHere's administrative discretion.
Starting a Trial does not automatically create a paid subscription.
5. Paid Subscription
The Starter subscription costs USD $19 per month, with recurring billing handled by Paddle.
The Starter plan includes 2,000 chat questions and 25 million embedded tokens processed per subscription billing period, with capacity for 500 active or pending knowledge-base sources.
Additional technical limits apply, including a maximum of 50,000 extracted tokens per source and applicable file upload limits.
There are no automatic overage charges. When an allowance is exhausted, the corresponding metered functionality may become unavailable until the applicable allowance is renewed or another valid entitlement permits the operation.
MakeRoomHere does not offer annual subscriptions or a permanent free plan at initial launch.
6. Payments and Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns
Paddle handles checkout, payment collection, applicable transaction taxes, buyer payment inquiries, and refunds under its applicable terms.

Subscription prices and applicable charges are displayed during checkout.
7. Subscription Cancellation and Payment Failure
You may cancel a paid subscription through the available Paddle billing-management options.
Normal cancellation takes effect at the end of the current paid billing period. Paid access remains available until that period ends.
If an existing subscription renewal payment fails, MakeRoomHere provides a seven-day grace period during which normal paid functionality remains available.
If payment is not recovered by the end of that grace period, features that incur AI-provider costs are restricted until a valid entitlement is restored.
Refund requests are governed by our separate Refund Policy and applicable Paddle terms. A full refund may terminate the subscription entitlement funded by the refunded payment.
8. Customer Content and Website Authorization
You retain your rights to content you submit to MakeRoomHere.
You grant MakeRoomHere permission to process that content as reasonably necessary to provide the service.
You must have the necessary rights or permissions to upload, import, crawl, process, or otherwise use content through MakeRoomHere.
You must not use the service to access prohibited resources, infringe intellectual property rights, violate privacy rights, or otherwise engage in unlawful activities.
MakeRoomHere may apply technical restrictions, website access controls, and usage limits to protect the service and third parties.
9. Website Visitors and Privacy Responsibilities
If you install a MakeRoomHere chat widget on your website, you are responsible for ensuring that its use complies with applicable privacy and data-protection obligations.
This includes providing appropriate information to your website visitors and obtaining consent where required by applicable law.
MakeRoomHere's processing of personal information is described in its Privacy Policy.
10. Acceptable Use
You must not use MakeRoomHere to distribute unlawful or harmful material, infringe the rights of others, attempt unauthorized access, interfere with service operations, or circumvent technical and account restrictions.
You must not misuse the service in ways that threaten its security, availability, or lawful operation.
11. Expiration, Recovery, and Account Access
When a Trial or paid subscription ends without another valid entitlement, MakeRoomHere restricts access to features that require an active entitlement.
Customer knowledge-base content can remain accessible in a read-only recovery state for 90 days following the applicable entitlement expiration.
During this period, customers may restore access by obtaining a valid entitlement, subject to the service's billing and account rules.
The availability of content beyond the recovery period is not guaranteed. Customers should maintain independent copies of important source material.
Questions about account or data deletion may be directed to MakeRoomHere support. Further details about data retention and deletion will be provided in the Privacy Policy.
12. Service Availability and Changes
MakeRoomHere depends on internet connectivity and third-party infrastructure and AI services.
We do not guarantee uninterrupted availability or that AI-generated responses will always be accurate.
We may make reasonable changes to the service for security, legal compliance, maintenance, or product improvement, subject to applicable contractual and consumer rights.
13. Suspension and Termination
We may restrict or suspend access where reasonably necessary to address unlawful activity, serious violations of these Terms, fraud, or security threats.
Where appropriate and legally required, we will provide notice and a reasonable opportunity to remedy a violation.
Termination or suspension does not remove rights or obligations that must survive under applicable law.
14. Liability and Consumer Rights
Nothing in these Terms excludes or limits liability or statutory rights that cannot legally be excluded or limited.
Customers remain responsible for deciding whether AI-generated information is suitable for their particular uses.
Any remedies available under mandatory consumer protection or digital-service laws remain unaffected by these Terms.
15. Governing Law
These Terms and Conditions are governed by the laws of Ukraine.
This choice of law does not deprive consumers of mandatory protections available under applicable laws in their country of residence.
16. Changes to These Terms
We may update these Terms when necessary to reflect legal, operational, or service changes.
Updated Terms will be published on the MakeRoomHere website. Material changes will be communicated where required by applicable law.
